     SUN MICROSYSTEMS ANNOUNCES $126 MILLION FINANCING

     MOUNTAIN VIEW, Calif. - September 28, 1989 - Sun
Microsystems, Inc.  (SUNW), announced today that it has con-
cluded an agreement with a group of insurance companies and
received approximately $126 million from the sale of 10.55%
Senior Notes due 1996 and warrants to purchase 882,000
shares of Sun's common stock at $25.03 per share.

     Sun Microsystems, Inc., headquartered in Mountain View,
Calif., is a leading worldwide supplier of network-based
distributed computing systems, including professional works-
tations, servers and UNIX(R) operating system and produc-
tivity software.
