---------------------------------------------------------------------------- The Florida SunFlash SUN MICROSYSTEMS ANNOUNCES PROGRAMS TO SYSTEMATICALLY REPURCHASE SHARES OF ITS COMMON STOCK SunFLASH Vol 24 #14 December 1990 ---------------------------------------------------------------------------- MOUNTAIN VIEW, CA --December 13, 1990-- Sun Microsystems, Inc., (SUNW), today announced the adoption of systematic repurchase programs which will enable Sun to repurchase in the open market a portion of the shares of Common Stock which it expects to issue under its 1990 Long-Term Equity Incentive Plan and its 1990 Employee Stock Purchase Plan which were approved by Sun's stockholders today. Sun intends to repurchase shares under these systematic repurchase programs on a regular basis during the terms of these two plans, and to reissue the repurchased shares in connection with such plans. Scott G. McNealy, Chairman of the Board of Directors, President and Chief Executive Officer, stated that "Sun has had a longstanding practice of linking key employee compensation to corporate performance because we believe that this increases employee motivation to improve stockholder value. We have, therefore, consistently included equity incentives as a significant component of compensation for a broad range of Sun employees. Sun has adopted these systematic repurchase programs in an effort to reduce the level of stockholder dilution caused by the issuance of shares under employee stock benefit plans.
