---------------------------------------------------------------------------- KAVNER RESIGNS FROM SUN'S BOARD SunFLASH Vol 20 #24 August 1990 ---------------------------------------------------------------------------- MOUNTAIN VIEW, Calif.--Aug. 23, 1990-- Sun Microsystems and AT&T today announced the resignation of Robert M. Kavner from Sun's board of directors. Kavner, who is AT&T's group executive for data systems and federal systems, joined Sun's board in June, 1988, as AT&T's designee under the terms of the stock purchase agreement dated January 4, 1988 between the two companies. AT&T has indicated that it does not intend to exercise its right under that agreement to designate a replacement for Kavner. Kavner stated, "My service as a member of Sun's board of directors has been extremely rewarding for me. The original intention behind having an AT&T designee on Sun's board was to help assure that the two companies worked smoothly in their joint development efforts with respect to UNIX(R) System V, Release 4 (SVR4). "The availability of SVR4 with OPEN LOOK(R), Open Network Computing (ONC(TM)) and other key technologies was announced in November of last year and the bulk of the joint development work has now been completed. The quality of SVR4 and its acceptance in the marketplace as a volume standard is a clear testament to the effective way in which AT&T and Sun met a difficult and, perhaps, unprecedented challenge. "I think one measure of our joint effort's success is the increasing frequency with which Sun and AT&T find themselves competing in the marketplace, raising potential conflicts of interest. Accordingly, and in order to remove this concern, I felt this was an appropriate time to leave the Sun board and to devote all of my energies to my AT&T responsibilities. For the same reasons, AT&T has decided not to designate a successor. "Sun and AT&T will continue their close working relationship in a broad variety of endeavors," stated Kavner. "For example, Sun will procure a substantial number of custom ASICs from AT&T and is also a significant user of AT&T's StarLAN local area network, while AT&T is a very large customer of Sun workstations. We will continue our ongoing work, together with UNIX International, to strengthen SVR4's acceptance as the UNIX standard. "AT&T is, of course, a large holder of Sun common stock. We expect to remain a substantial shareholder of Sun Microsystems and have no current plans to liquidate any substantial portion of our holdings." Scott McNealy, chairman, president and CEO of Sun, said, "Over the last two years, Bob Kavner has been an outstanding member of Sun's board of directors. The successful introduction of SVR4 demonstrates his contribution to the smooth working relationship between the two companies. Moreover, his background and experience were invaluable to the company during a period of extremely rapid growth. We understand Bob's desire to devote his full time and attention to his important responsibilities at AT&T, but we are certainly sorry to see him leave."
